Contract Law

Contract law regulates the validity, scope, and consequences of the legal relationship between the parties. As Ertan Law & Consultancy, in Bursa we provide contract drafting, review, and dispute resolution services to natural and legal persons within the framework of Law No. 6098 (Turkish Code of Obligations) and the relevant special legislation.

Types of Contracts

Sales contracts: Sale of movable and immovable property, installment sales, defects, and title deed transfer.

Lease agreements: Residential and covered workplace leases, rent increases, eviction undertakings.

Service, work, and agency contracts: Service contracts, subcontractor and contractor relationships, and consultancy and representation agreements.

Confidentiality (NDA) and non-competition: Protection of trade secrets in business partnerships, investment negotiations, and employee contracts. The validity of a non-competition covenant depends on its being limited in terms of duration, place, and subject matter.

Commercial contracts: Dealership, distribution, franchise, supply, and partnership agreements.

General terms and conditions: Review of pre-drafted, standard contractual terms. Provisions that are to the detriment of the other party, unexpected, or one-sided may be held invalid.

What Matters When Drafting a Contract

  • Correct identification of the parties and their representational authority
  • Clear drafting of the subject matter and the time limits
  • Determining the procedure for termination, notice, and notification
  • Balanced regulation of the penalty clause and default interest provisions
  • Cases of force majeure and excessive hardship in performance
  • The clause on competent court or arbitration
  • Evidence and signature arrangements in contracts concluded electronically

Pre-Signing Review Service

Before signing, the contract is reviewed, and provisions that may be to the party's detriment, incomplete arrangements, and points that may give rise to disputes in practice are reported in writing. This review aims to reduce the disputes that may arise after signing.
